Within 6 months’ notice will be given in the Gazette of your request to be de-registered. At this juncture, persons with an interest in your company may come forward.

There are 2 main steps to change the name of a Limited Liability Company in Trinidad. Firstly file a Name Search, secondly file the Articles of Amendment and Special Resolution once the proposed name is approved.
The first step is to file a Name Reservation Form to determine if the proposed business name is available. This is very similar to the first step that you took when you initially registered your company. The results from the name search will be available within 5-7 working days .Once the name is approved,you will be given a deadline to file the other 2 documents to complete the process.

The second step is to file the Articles of Amendment and the Special Resolution . The Special Resolution is the document that is prepared to reflect the decision that was made after a general or special meeting to change the name of the company. Both the Articles of Amendment and the Special Resolution must be signed by a director of the corporate secretary. The name approval ,the Articles of Amendment and the Special Resolution must be lodged with the registrar at the same time. The prescribed fee will be paid to the cashier. Your Certificate of Amendment will be printed .

Congratulations on registering your limited liability company. Please be gently reminded that there a few post-registration considerations such as tax compliance, AML/CFT/FIU compliance for listed businesses and the filing of annual returns with the Companies Registrar every year.
An Annual Return is critical to a company since this document presents a correct, updated reflection of the company’s state of affairs. This documents presents an up to date snapshot of all directors and officers of the company, share capital as well as company debts. Once this document is filed at the Companies Registry, this information will be registered with the Registrar. When conducting company business, banks and other stakeholders will request the most recent Annual Returns. From this document all present company officers and company debts can be discerned.
When should a Company file an Annual Return?
The law states that a company should file an Annual Return no later than 30 days after each anniversary date of its continuance, incorporation or amalgamation at the Companies Registrar.
What happens if a company fails or refuses to file an Annual Return?
Where a Company fails or refuses to file a document with the Registrar within the time specified in the Act, the Registrar shall be entitled to collect from that Company a penalty of one hundred dollars ($300.00) for every month or part thereof.
The Companies Act of the Republic of Trinidad and Tobago requires companies to file an Annual Return every year even if the company has not been trading. In accordance with Section 194 (1) of the Companies Act of the Republic of Trinidad and Tobago, each company must file an Annual Return no later than thirty (30) days after each anniversary date of incorporation in the applicable form. At any point, the officers of the company can change directors, corporate secretaries, issue shares or acquire loans and these changes must be captured in the Registrar’s records of the company.
The following must be updated in the Annual Returns:
(a)Name of the Company
(b)The Registered Office of Company
(c) The Anniversary date of the Company
(d) Share Capital
(e)Authorized Share Capital
(f) Details of the persons holdings shares in the company
(g) The Total amount of indebtedness of the company (loans, mortgages, charges)
(h) Updated details of all directors of the company
(i) Updated details of corporate secretaries
(j) Signature of the corporate secretary or the director

What is now proven was once a thought. I always wanted to be a blogger, but I feared that I would soon run out of topics. I did not want to start the project, then abandon it when ideas were scarce. But the opposite happened, as I immersed myself in writing the universe provided me with ideas weekly. I am now able to research new topics and prepare a presentation. I celebrated when my post was viewed by one person within 5 days of my posting. One year later I got 6 likes immediately after posting and this was a huge achievement for me. I am not yet in a position to do that, so please accept my blog posts as a sneak peek into my life. I am involved in many projects at this time, but my favourite project is blogging on this forum, WordPress. It is a great way to create an archive of your life week by week. People from all around the world view my posts, and I smile with each view. It pleases me greatly when my friends or relatives strike up a conversation with me about one of my posts. The mere fact that they took 2 minutes out of their busy schedules to read my content means a lot to me. I have always been teased about the way I walk. I walk quickly, I pass people by on the sidewalks as though a dog I chasing me. I am oftentimes told that I would get a speeding ticket. I simply laugh at these jokes. In response, I say that I am “on a mission”. I could be on my way to class, on my way to the office or about to meet a friend, I walk with purpose.
Increasing your walking pace by 25% was one of the confidence building exercises in the Magic of Thinking Big . The author told of the games his mother played that consisted of watching passersby and observing their walking habits. His mother advised him that there was much to learn from observing the walking habits of people. The author said that psychologists link poor posture and sluggish walking to low self confidence. Psychologists also say that our attitudes can be changed by improving our posture and by increasing our speed of movement.
The author described 3 different groups of people based on their walking patterns. The first group are the “beaten people”, they “shuffle and stumble along through their life”. The second group of people are average and so is their walk, average. The last group of people exude “superconfidence” in the words of the author. These people walk faster than average, there is a sprint in the way they walk. Their walk tells the world “ I’ve got someplace important to go, something important to do”. Moreover, it tells the onlooker that the walker will succeed at anything he is about to do. You have to state your intentions to the world and put it out in the universe. It will come back to you. The elements will line themselves up. Everything will fall into place. Start today,baby steps .Do not wait until the time is right. Do not wait for conditions to be favourable,just proceed and they will follow your lead. You have to guide the way ,you will become weary in waiting . Plan ,execute and repeat . Write your plans down for your records and tell your friends about it to remain accountable . Press on.
People underestimate the importance of their backs. If you are having back pains you will have grave difficulty functioning. Your central nervous system consists of your brain and your spinal cord. Your spinal cord runs along your back. Spine injuries may render the victim cripple. I was watching the second installment of Independence Day (2016) and the alien invader was destroyed by shooting her in the back. One of the men who was fighting to save the World advised his comrades to aim for the alien’s back because that was her weakness. I took a moment to process this and I recalled that the human back is also a vulnerable area. We always lament when persons known to us say negative about us “behind our backs “. We become bitter when they “stab us in the back”, wouldn’t it hurt more to aim for our hearts ? I think not,because a broken heart can mend. But a broken back, will never be whole again. In this era of user friendly people ,we have to guard our backs. We have to watch our own backs because a friend,is a known enemy.

I stumbled upon another documentary with Whitney Houston and she stated that it became increasingly difficult for her to go outdoors as her popularity increased. She indicated that she was bombarded by fans requesting autographs and or photos. She lamented that success did not change her but her growing fame restricted her ability to go out. In my respectful view, although she appeared cheerful in some of the footage (recorded while on tour) there seemed to be in sweet pain. In order to effectively perform her classics , she had to identify with heartache and loneliness, possibly experience it. It was revealed that she had low self esteem and this was reinforced in her tumultuous marriage. She spent days away from her infant daughter while on tour , she practiced with her band non stop and she was now a public figure. She found comfort in her vice, she started consuming then she was consumed. Fame is a hell of a drug.
Today is her birthday and I know she is smiling. In the darkness, she knew herself.She sang with soul and her beauty was raw. Her album “Back to Black” was the soundtrack of my life in 2008. Her performances were entertaining and she poured herself into her music. She loved love, but love hated her. She was peacefully bitter and the lyrics of her song reflected her tortured love life. Yet she continued singing, she indulged in love with her lover but that love turned into something painful to witness. Her success was accompanied by haunting fame that elevated her to a public figure. Her love use became the subject of articles and she was stalked by paparazzi. It was not the success that changed her, because she always suffered from an eating disorder, it was the love that fame brought. Love is a hell of a drug.
My dear Selena, there is none like unto thee. Your strong sense of fashion, your strong command of your vocal cords, and the way you moved your body makes this generation miss you. You lived , you loved and you infected everyone around you. You trusted those around you and your fame attracted psycopaths. These forces were responsible for your tragic demise because you trusted people . Trust is a hell of a drug.
